Michael J. Berthelot is a professional corporate director. He founded Cito Capital Corporation, a corporate governance and strategic consulting firm, in February 2003 following his stepping down as Chairman and Chief Executive Officer of TransTechnology Corporation, then a New York Stock Exchange listed multinational manufacturer of industrial and aerospace equipment and components, positions he held for fifteen years.
Mr. Berthelot holds a Bachelor's of Science in Accounting, cum laude, from the University of Akron, a Masters of Business Administration from Cleveland State University, and is a certified public accountant (Ohio). Mr. Berthelot has served as a director of more than twenty public or private companies. Mr. Berthelot currently serves as a board member of a Fortune 1000 consumer products company, a privately held software company and two non-profit organizations in San Diego.
Mr. Berthelot writes and speaks on corporate governance and board related topics such as the development of strategy, audit committees, and CEO succession. He is an active member of the National Association of Corporate Directors and its Directors Institute, a board member of the Corporate Directors Forum and the Chairmen's Roundtable (both of San Diego), and the American and Ohio Associations of Certified Public Accountants.
